1. Introduction
This End User Licence Agreement (the Agreement) applies to your use of the MYOB Acumatica Platform. By using the MYOB Acumatica Platform, you acknowledge and agree that you will comply with the terms of this Agreement. If you have any questions, please contact legal@myob.com.
If you do not agree to these terms, you should not proceed and exit the MYOB Acumatica Platform immediately.
2. License Grant
We grant you a non-exclusive, non-transferable, revokable license to use the Platform according to the terms set out in this Agreement. Your license and use of the MYOB Acumatica Platform is subject to payment of the any required Fees.
3. Use and Access
You may access and use the MYOB Acumatica Platform if you have been nominated as an Authorised User. Your access and use of the MYOB Acumatica Platform may be subject to certain permissions or restrictions.
You may not permit other individuals to use the MYOB Acumatica Platform, except under the terms of this Agreement.
Unless otherwise required by law, we are not responsible for any other third party application that you may obtain or connect to the MYOB Acumatica Platform. If you install or enable any other third party application for use with the MYOB Acumatica Platform, you consent to us allowing the other application to access your data as required to enable the Platform and the other third party application to operate together. Any exchange of data or other interaction between you and a third party application provider may be subject to their product terms of use or their privacy policy.
We reserve the right to revoke or suspend your access to the MYOB Acumatica Platform at any time upon written notice to you, if:
you are removed as an Authorised User;
you breach the terms of this Agreement;
it is necessary for system maintenance or for security reasons; or
the ongoing operation of the MYOB Acumatica Platform is rendered substantially unworkable or non-functional.
4. Platform Availability
We may do emergency repairs or maintenance to the MYOB Acumatica Platform without notifying you if it is business critical, outside of our reasonable control or necessary to protect the integrity or security of the MYOB Acumatica Platform or your data.
We are not responsible for any compromise of data transmitted using networks or facilities which are not owned or operated by us.
6. Your Obligations
Unique Login Credentials: You will be given unique login credentials.
You should keep your username and password secure and confidential. You must not share your login credentials with anyone.
If you suspect that your login credentials have been compromised, immediately reset your password.
We may suspend or remove your access if we determine that your login credentials have been used by more than one individual.
Internet Access
You need internet access to use the MYOB Acumatica Platform. You are responsible for ensuring you have internet access and use browser versions that are compatible with the MYOB Acumatica Platform. We will publish a list of compatible browser versions on our website.
Acceptable Use:
You may not use the MYOB Acumatica Platform for unlawful or prohibited activities. Specifically, you must not:
use the MYOB Acumatica Platform in a manner that contravenes any applicable law or breaches a third party’s legal rights;
interfere with the operation of the MYOB Acumatica Platform;
sell, commercialise, lease, loan, or otherwise distribute the MYOB Acumatica Platform to third parties;
reverse-engineer, decompile, or attempt to discover the source code, formulae, or processes in respect of the software behind the MYOB Acumatica Platform;
copy, reproduce, alter, modify, or create derivative works from the Platform;
use the MYOB Acumatica Platform in any way that is harmful, threatening, abusive, vulgar, defamatory, obscene, or otherwise objectionable;
upload any material (including pdf and jpg files) into the MYOB Acumatica Platform that:
contains Personal Information without the individual’s consent; or
infringes on the Intellectual Property Rights of any third party;
introduce or permit the introduction into the Platform of any software viruses, malware or other malicious computer codes, files, or programs that corrupt, interrupt, destroy, or limit the functionality of the MYOB Acumatica Platform;
use the MYOB Acumatica Platform to send "spam" or otherwise make available any offering in breach of these terms; or
remove, modify, or tamper with any copyright, acknowledgment, attribution, trademark, warning, disclaimer, regulatory or legal notice, or link that is incorporated into the MYOB Acumatica Platform.
You must comply with all applicable laws, including privacy laws, while using the MYOB Acumatica Platform.
You must use the MYOB Acumatica Platform in accordance with any documentation or reasonable instructions we give you.
Data: You are responsible for verifying and maintaining the accuracy and completeness of any data that you input into the MYOB Acumatica Platform. You must obtain all necessary consents from individuals, as required by applicable privacy laws, for any personal information you input into the MYOB Acumatica Platform.
7. General
Governing Law:
If you reside in New Zealand, this Agreement is with MYOB NZ Limited and is governed by the laws in force in New Zealand.
In all other cases, this Agreement is with MYOB Australia Pty Ltd and is governed by the laws in force in the state of Victoria, Australia.
You submit to the non-exclusive jurisdiction of the courts specified above.
Amendments: We reserve the right to change this agreement from time to time by providing you with at least 30 days’ written notice. This notice may be sent via in-product messaging. Continued use of the MYOB Acumatica Platform after you have been notified of changes, constitutes acceptance of the revised terms.
